$54.20 per share....nice

Elon Musk has launched a $41 billion bid to buy Twitter, saying the proposed deal is part of his plan to bring “free speech around the globe.”

Musk’s offer price of $54.20 per share, which comes just days after he rejected a seat on the social media company’s board, represents a 38% premium to Twitter’s April 1 close, the last trading day before the Tesla CEO’s more than 9% stake in the company was made public.

Well, a lot depends on the shareholders. The price he's offering is, what, $10 or $12 higher than the current share price, so we'll see how they feel about that. He could also negotiate with a group of shareholders to get a majority. This is probably the most interesting thing to happen in stocks in a long time.

Twitter’s ‘chief censor’ making $17M per year could be fired by Elon Musk

Twitter’s chief lawyer — seen as the social network’s top advocate for censoring conservatives — is among the highly paid executives who stand to lose their job if Elon Musk completes his takeover of the company.

Vijaya Gadde, who earned $17 million last year as Twitter’s top legal counsel, could be on the chopping block as Musk is reportedly planning to slash jobs and reduce executive pay as he looks to secure financing for his Twitter bid.

After disclosing plans to acquire the company earlier this month, Musk expressed “no confidence” in Twitter’s current management — which doesn’t bode well for their future once he takes the helm later this year.

Nevertheless, Gadde also stands to win a nice consolation price if she’s fired: a severance package worth $12.5 million that includes the accelerated vesting of a trove of Twitter shares she has accrued.

The 48-year-old Gadde, who reportedly broke down in tears when addressing colleagues about the future of Twitter, has become a lightning rod for controversy in recent days due in no small part to Musk himself, who tweeted a meme that painted her as oblivious to a “liberal bias” at Twitter.[/Quote]

Elon Musk accused Congresswoman Alexandria Ocasio-Cortez of flirting with him after she raged that his purchase of Twitter had stoked hate crimes.

'Stop hitting on me, I’m really shy,' he wrote, adding a blushing emoji to go along with it.

Musk was replying directly to a tweet sent by the Democrat Representative earlier on Friday, which suggested he'd only bought the platform at the behest of Fox News host Tucker Carlson and his PayPal co-founder Peter Thiel.
'Tired of having to collectively stress about what explosion of hate crimes is happening bc some billionaire with an ego problem unilaterally controls a massive communication platform and skews it because Tucker Carlson or Peter Thiel took him to dinner and made him feel special,' she tweeted.
Earlier in the day, Ocasio-Cortez took exception to Musk's claim that the 'far left' had taken over the Democratic Party in recent years after he posted a graphic showing what he saw as the straying of the party left since 2008.

'The extreme left is taking over WHERE,' she wrote. 'In Texas, Republicans passed a law allowing rapists to sue their victims for getting an abortion. Can anyone name a “far left” policy that extreme implemented anywhere? We can’t even get our party to import cheaper RXs from Canada. foh.'

It’s driving the woke nuts, not being able to censor anyone that doesn’t agree with them. The liberal woke have gotten used to a single message nazi style propaganda indoctrination of the people. The idea of a different point of view being introduced and discussed is just unbearable to them.
We’re slowly becoming China and Russia, were all speech is controlled and censored by the ruling party. Only one thought one single mind for all, no individuality, the woke remind me of an old movie “ The Stepford Wives“

Elon Musk says he’ll reverse Trump’s Twitter ban

Elon Musk said he would reverse Twitter’s ban on former President Donald Trump once he officially takes over the social media platform.

The Tesla tycoon, whose $44 billion takeover bid was accepted by Twitter’s board of directors last month, made the comment Tuesday during an interview with Financial Times.

“Permanent bans should be extremely rare and really reserved for accounts that are bots, or scam, spam accounts … I do think it was not correct to ban Donald Trump,” Musk said.

“I think that was a mistake, because it alienated a large part of the country and did not ultimately result in Donald Trump not having a voice.”

Jack Dorsey now agrees that Trump should never have been banned from Twitter

Twitter co-founder Jack Dorsey has admitted that he should never have allowed then-President Donald Trump to be banned from his social media giant.

The tech titan conceded Tuesday it was the wrong move after Elon Musk, Twitter’s presumptive new owner, said he would reinstate Trump’s account and that Dorsey agreed that there shouldn’t be permanent bans.

It was/is a private business, they can ban/cancel anyone they want... but they should be unliteral about it. Otherwise it comes exactly what this was, a hit list of people they didn't agree with.

Twitter engineer recorded saying ‘Commie as f–k’ staff ‘censors the right’

A senior Twitter engineer has been secretly recorded admitting that the social media giant is “censoring the right” — and that he and his co-workers are “Commie as f–k.”

“Twitter does not believe in free speech,” Siru Murugesan said in a series of hidden-camera clips released late Monday by Project Veritas.

“Elon [Musk] believes in free speech,” added Murugesan, who claimed that many of his colleagues “hate” what might happen if the Tesla founder’s on-hold $44 billion takeover goes through.

“Some of my colleagues are like super left, left, left, left, left,” said the engineer, adding that many have threatened to quit if Musk takes over and enforces his free-speech model.

Is anyone surprised? I know I for one am not.

California is a disease. Everything (almost) that comes from that state is cancerous to common sense and anyone with a strand of intelligence

Not sure if it means anything or not but it sure seems like other than Jack Dorsey Twitter is completely run by Indians/Indian Americans. Anyone else picking up this vibe? Google CEO is too. Again, not reading too much into this, just an observation.

Hat tip @BuffettGirl

Elon Musk called out a Twitter executive who was caught mocking the billionaire's Asperger's in a newly-released video from Project Veritas.

Alex Martinez, identified by Project Veritas as Twitter's Lead Client Partner, was recorded knocking his incoming boss, decrying the Tesla CEO's mission to reform the platform's policies in favor of free speech.

"He has Asperger's. So he's special!" Martinez told an undercover Project Veritas journalist in a video released Tuesday. "You're special needs! You're literally special needs."

"So I can't even take what you're saying seriously," Martinez added.
[....]
Musk did not seem to take those comments lightly, tweeting, "Twitter exec trashing free speech & mocking people with Asperger’s …"

The billionaire pinned that tweet to his Twitter page.

Musk also separately tweeted a frown emoji in response to the video.
[....]
Martinez's comments came just one day after Project Veritas released another video featuring Twitter senior engineer Siru Murugesan, who was caught saying Twitter "does not believe in free speech" and how a "capitalist" like Musk may come into conflict with Murugesan's fellow colleagues, who he described as being "socialist" and "commie as f---."

"Ideologically, it does not make sense, like, because we're actually censoring the right and not the left," Murugesan told an undercover Project Veritas journalist in Monday's video. "So everyone on the right will be like, ‘Bro, it’s okay to say it, just gotta tolerate it.' The left will be like, ‘No, I’m not gonna tolerate it. I need it censored or else I'm not gonna be on the platform.' So it does that on the right. It's true. There is bias."

When asked what his colleagues think of Musk becoming their new boss, Murugesan said "they hate it" though he himself is "at least okay with it."

"Some of my colleagues are like super left, left, left, left, left… They're like, ‘This would be my last day,’" the senior engineer said. "We did all we could to, like, revolt against it. A lot of the employees revolted against it, but at the end of the day, the board of directors have the say and then they acted on their best interests because they didn't wanna get sued."

Following the leak of Murugesan's comments, internal memos to Twitter staff were leaked to Project Veritas warning "increased targeting" of employees, referred to within the company as "Tweeps."

"Groups like Project Veritas are active right now," Twitter's security team told staff. "These groups use social engineering tactics to get close to employees and obtain videos and recordings of employees discussing internal company matters and often selectively edit those recordings to misrepresent conversations to further their own political or ideological agendas."

"Given the interest in Twitter at the moment, we expect for this targeting to continue and possibly increase, and it's more important than ever that we remain vigilant," the memo read before urging staff, "Do not disclose confidential, proprietary information, or discuss internal conversations, policies or products outside of the office."

In Tuesday's leaked footage, Martinez unwittingly showed the undercover Project Veritas journalist the memo.

"It's like some group that's just trying to out the employees," Martinez told the Project Veritas journalist. "Like they're trying to go on dates with them, like this, and record them… and say, ‘This is what a Twitter employee just said.’"

Martinez added, "You're lucky that you met me organically cause I would be questioning everything about you."

Twitter did not immediately respond to Fox News' request for comment.

Nearly 25% of Elon Musk’s Twitter followers are fake

Nearly one out of every four of Elon Musk’s Twitter followers are either spam or bot accounts, according to researchers.

Musk, who has signaled he may pull out of his $44 billion acquisition of Twitter because of the prevalence of fake bots, has a total of 93.8 million followers on the social media platform.

Of those, more than 23.42% of them are either fake or spam accounts, according to two research groups whose findings were reported by Business Insider.

SparkToro and Followerwonk conducted an audit of Musk’s Twitter followers.

The two companies said they used a system of 17 warning signals. They also deployed an algorithm that scanned through 35,000 fake accounts that were bought by SparkToro.

The two firms also separately marked 50,000 accounts as non-spam.

Musk followers that were flagged for multiple signals were rated low quality or fake.

The assclown in the video was talking about his potential new boss and he was saying "He has ASPERGER'S! He's like, SPECIAL NEEDS!" and it was so gross. Not only gross from the point of view of having the condition being discussed. But gross that you would need to deride a man that has done mostly astounding things for humanity because he sees the world a little bit differently than most. Butt-munch would be thrilled to have Elon's mind, he's too intimidated to say that though. I know that often times, I am on the wavelength that he's on, and it's a cool place to be. I have all of the thoughts, what I don't have is a way to put all of the thoughts into action. I admit it, I'm beyond jealous of the way he harnessed that. While I sit here drowning in all of the thoughts... :shame:

DETROIT (AP) — Elon Musk is threatening to walk away from his $44 billion bid to buy Twitter, accusing the company of refusing to give him information about its spam bot and fake accounts.

Lawyers for the Tesla and SpaceX CEO made the threat in a letter to Twitter dated Monday, and Twitter disclosed it in a filing with the U.S. Securities and Exchange Commission.

The letter says Musk has repeatedly asked for the information since May 9, about a month after his offer to buy the company, so he could evaluate how many of the company’s 229 million accounts are fake.

Twitter CEO Parag Agrawal has said that Twitter has consistently estimated that fewer than 5% of its accounts are fake. But Musk has disputed that, contending in a May tweet that 20% or more are bogus.

Twitter said in a statement Monday that it “has and will continue to cooperatively share information with Mr. Musk to consummate the transaction in accordance with the terms of the merger agreement.”

“We intend to close the transaction and enforce the merger agreement at the agreed price and terms,” it added.
[....]
Musk’s lawyers say in the letter that Twitter has offered only to provide details about the company’s testing methods. But they contend that’s “tantamount to refusing Mr. Musk’s data requests,” and constitutes a “material breach” of the merger agreement that gives Musk the right to scrap the deal if he chooses.

“This is a clear material breach of Twitter’s obligations under the merger agreement and Mr. Musk reserves all rights resulting therefrom, including his right not to consummate the transaction and his right to terminate the merger agreement,” the letter says.

Musk wants underlying data to do his own verification of what he says are Twitter’s lax methodologies.

The Twitter sale agreement allows Musk to get out of the deal if there is a “material adverse effect” caused by the company. It defines that as a change that negatively affects Twitter’s business or financial conditions. Twitter has said all along that it’s proceeding with the deal, although it hasn’t scheduled a shareholder vote on it.

Last month Musk said that he unilaterally placed the deal on hold, which experts said he can’t do. If he walks away, he could be on the hook for a $1 billion breakup fee.
[....]
“I doubt he would be allowed to walk away,” Quinn said. “At some point, the board of Twitter will tire of this and file a suit” asking a judge to force Musk to stick to the deal.

Twitter has disclosed its bot estimates to the U.S. Securities and Exchange Commission for years, while also cautioning that its estimate might be too low.

“If Twitter is confident in its publicized spam estimates, Mr. Musk does not understand the company’s reluctance to allow Mr. Musk to independently evaluate those estimates,” the Musk letter says, adding that he agrees not to disclose or keep the data.

The bot problem is a longtime fixation for Musk, one of Twitter’s most active celebrity users, whose name and likeness are often mimicked by fake accounts promoting cryptocurrency scams. Musk appears to think such bots are also a problem for most other Twitter users, as well as advertisers who take out ads on the platform based on how many real people they expect to reach.

The letter signed by Musk attorney Mike Ringler that copied other lawyers, points to a spat over a June 1 letter from Twitter in which the company said it only has to give information related to closing the sale. It says Twitter is obligated to provide data for any reasonable business purpose needed to complete the deal.

Twitter also has to cooperate with Musk’s effort to get the financing for the deal, including providing information that’s “reasonably requested” by Musk, the letter states.

The letter contends that Musk is not required to explain his rationale for requesting data or submit to “new conditions the company has attempted to impose” on his right to get the numbers.

It alleges that Musk is entitled to the data about the core of Twitter’s business model so he can prepare the transition to his ownership.
